Terms of Service Last Updated: September 9, 2026 These Terms of Service ("Terms") govern your access to and use of engageforteams.com, the Engage for Teams web application, and related services provided by Engage ("Engage", "we", "us", or "our"). By creating an account, accessing, or using the Service, you agree to these Terms. If you are using the Service on behalf of a company, organization, community, or other entity, you represent that you have authority to bind that entity to these Terms. 1. The Service Engage provides web-based applications designed to help companies, organizations, communities, and teams organize events, activities, participant interactions, assignments, selections, competitions, and reward-based experiences. The available applications and features may change from time to time. Certain applications may operate using predefined or organization-configured rules, while others may use automated or randomized assignment mechanisms. 2. Accounts Organizations and users may be required to create an account to use certain features. You agree to provide accurate and current information and to keep account information reasonably up to date. You are responsible for maintaining the confidentiality of your account credentials and for activities performed through your account. If you believe your account has been accessed without authorization, you must notify us promptly. 3. Organization Accounts and Administrators Organizations, companies, communities, or teams may create accounts and invite or allow their users and participants to access the Service. The organization or its authorized administrators may: • Configure events; • Define event dates and times; • Select applications; • Establish participation rules; • Provide participant information; • Create participant links; • Configure application parameters; • Determine applicable rewards or prizes; • Manage organization users. The organization is responsible for its configurations and instructions and for ensuring that its use of the Service complies with applicable laws and regulations. 4. Participant Information Organizations may provide Engage with information about their users or event participants. The organization is responsible for ensuring that it has the necessary rights, permissions, notices, consents, or other lawful basis to provide such information to Engage. Engage is not responsible for the organization's failure to obtain any legally required authorization from participants. 5. Events, Rules, Results, and Rewards Each application may operate according to its own rules and result-generation methodology. The applicable rules and mechanics should be communicated to participants as part of the event planning or participation process. Where the organization determines the rules of an event, the organization is responsible for those rules. Rewards, prizes, eligibility requirements, and the determination of recipients may be controlled by the organization unless otherwise expressly stated. Engage provides the software infrastructure for the relevant application and does not guarantee that a participant will receive a reward or prize. 6. Randomized Assignments Certain Engage applications may use automated randomization to assign participants, selections, or outcomes. Where randomization is used: • The assignment is generated automatically by the software; • Engage does not manually select individual results; • Engage does not intentionally manipulate individual randomized assignments; • Results are generated according to the applicable application logic. Unless expressly stated otherwise, Engage does not guarantee any particular randomized outcome. 7. Participant Links Organizations may create participant links and distribute those links to intended participants. The organization is responsible for distributing participant links appropriately and for taking reasonable steps to prevent unauthorized access or sharing. Engage is not responsible for unauthorized access resulting from an organization or participant publicly or improperly sharing a participant link. 8. Subscriptions and Payments Engage may offer services through: • Recurring subscriptions; • One-time purchases; • Other pricing models that may be introduced from time to time. Prices, billing intervals, and applicable features will be presented at the time of purchase. Payments may be processed through third-party payment providers. By submitting a payment, you authorize the applicable payment provider to process the transaction according to the selected purchase or subscription. 9. Subscription Cancellation Where a subscription is offered, users may cancel their subscription according to the cancellation functionality or instructions provided by Engage. Unless otherwise stated at the time of purchase or required by applicable law, cancellation will generally prevent future renewal but will not automatically result in a refund for a previously paid billing period. Any refund rights required by applicable law will remain unaffected. 10. Refunds Refunds may be provided according to the applicable purchase terms, our refund policy, and applicable law. Certain transactions may be handled by our payment or Merchant of Record provider. Where a payment provider is responsible for processing the transaction, its applicable payment and refund procedures may also apply. 11. Acceptable Use You agree not to: • Use the Service for unlawful purposes; • Attempt to gain unauthorized access to accounts or systems; • Circumvent security or authentication mechanisms; • Interfere with the operation of the Service; • Introduce malicious code, malware, or harmful software; • Abuse automated systems or APIs; • Use the Service to violate another person's rights; • Upload information that you do not have the legal right to provide; • Use participant information for purposes unrelated to the legitimate use of the Service; • Attempt to manipulate or interfere with application results; • Reverse engineer or attempt to extract source code from the Service except where permitted by applicable law. 12. Intellectual Property The Service, including its software, design, interfaces, branding, features, documentation, and underlying technology, is owned by or licensed to Engage and is protected by applicable intellectual property laws. Except for the limited rights granted under these Terms, no ownership rights are transferred to you. You retain ownership of content and information that you lawfully provide to the Service, subject to the rights necessary for Engage to operate the Service. 13. Service Availability We aim to provide a reliable Service but do not guarantee that the Service will always be available, uninterrupted, or error-free. The Service may occasionally be unavailable due to: • Maintenance; • Updates; • Security measures; • Infrastructure failures; • Third-party service interruptions; • Events outside our reasonable control. 14. Third-Party Services The Service may integrate with or rely on third-party services, including hosting, authentication, analytics, payment, communication, and other technology providers. Third-party services may have their own terms and privacy policies. Engage is not responsible for the independent operation or policies of third-party services. 15. Disclaimer The Service is provided on an "as is" and "as available" basis to the maximum extent permitted by applicable law. Engage does not guarantee that: • The Service will meet every user's specific requirements; • Application results will produce a particular outcome; • A participant will receive a reward or prize; • Randomized results will produce any particular selection; • The Service will always operate without errors or interruptions. Organizations and users are responsible for determining whether the Service is appropriate for their intended use. 16. Limitation of Liability To the maximum extent permitted by applicable law, Engage will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to the use of the Service. This may include loss of profits, business interruption, loss of data, or loss of expected rewards or benefits. Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law. 17. Indemnification To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Engage and its affiliates, officers, employees, and service providers from claims, damages, liabilities, costs, and expenses arising from: • Your violation of these Terms; • Your unlawful use of the Service; • Your violation of another person's rights; • Information or participant data that you provide without the required authorization; • Your organization's events, rules, rewards, or participant decisions. 18. Suspension and Termination We may suspend or terminate access to the Service where reasonably necessary, including where: • These Terms are violated; • Fraudulent or abusive activity is suspected; • The Service is used unlawfully; • Payment obligations are not met; • Security or operational risks require suspension. Where appropriate, we may provide notice before termination. 19. Service Availability, Technical Errors, and Support We aim to provide a reliable and continuously improving Service. However, Engage does not guarantee that the Service will always be available, uninterrupted, secure, or free from errors, defects, bugs, delays, or technical failures. Technical issues may occur due to circumstances including, but not limited to: • Software bugs or defects; • Server, hosting, database, or infrastructure failures; • Internet or network interruptions; • Browser, device, or operating system incompatibilities; • Maintenance, updates, upgrades, or security measures; • Third-party service failures or outages; • Authentication provider failures; • Payment provider failures; • Cybersecurity incidents; • Distributed denial-of-service (DDoS) attacks; • Malware, malicious activity, or other events outside our reasonable control; • Incorrect configuration or use of the Service by an organization, administrator, planner, or participant. Where a technical issue is reported or detected, Engage may investigate the issue and take commercially reasonable steps to identify, reproduce, diagnose, mitigate, and resolve the underlying problem. We may request relevant information, screenshots, logs, timestamps, event information, or other technical details from the affected user or organization when reasonably necessary to investigate an issue. Providing technical support or investigating an issue does not constitute an admission of liability or an acknowledgment that Engage is responsible for the issue. Unless otherwise required by applicable law, Engage will not be liable for losses, damages, missed opportunities, lost rewards, business interruption, or other consequences arising solely from temporary unavailability, technical errors, bugs, failures, delays, or interruptions of the Service. 20. Third-Party Services and Payment Providers The Service may rely on third-party providers for payment processing, hosting, authentication, analytics, email delivery, infrastructure, security, and other functions. At the time of these Terms, payments may be processed through Paddle, which may act as a payment processor and/or Merchant of Record for applicable transactions. Third-party providers operate independently from Engage and may be subject to their own terms, privacy policies, security practices, systems, and availability. Engage does not control the operation, security, availability, or internal systems of third-party providers. Accordingly, to the maximum extent permitted by applicable law, Engage is not responsible for failures, interruptions, errors, delays, unauthorized access, security incidents, data breaches, payment failures, payment reversals, chargebacks, or other issues caused by or originating from a third-party provider. This includes, without limitation: • Payment processing errors; • Payment authorization failures; • Payment provider outages; • Payment reversals or chargebacks; • Fraudulent transactions; • Unauthorized transactions; • Security incidents affecting a payment provider; • Compromise or unauthorized disclosure of payment information occurring within a third-party payment provider's systems; • Errors or interruptions in third-party authentication services; • Failures of third-party infrastructure or APIs. Where payment information is collected and processed directly by a third-party payment provider, Engage does not intentionally store complete payment card numbers or payment card security codes on its own systems. Users should review the applicable terms and privacy policies of the relevant payment provider for information regarding how payment information is processed and protected. Nothing in this section limits any rights or protections that cannot legally be excluded. 21. Security Incidents and Cybersecurity Engage takes reasonable technical and organizational measures designed to protect the Service and information processed through it. However, no online service, computer system, network, database, or electronic transmission can be guaranteed to be completely secure. Despite reasonable security measures, the Service may be affected by events such as: • Unauthorized access attempts; • Account compromise; • Malware; • Phishing; • Credential theft; • Distributed denial-of-service attacks; • Vulnerabilities in third-party software or infrastructure; • Zero-day vulnerabilities; • Data breaches; • Other malicious or unforeseen cybersecurity incidents. If Engage becomes aware of a security incident affecting information for which Engage has legal notification obligations, Engage will take reasonable steps required by applicable law, which may include investigating the incident, mitigating its effects, and providing notifications where legally required. To the maximum extent permitted by applicable law, Engage will not be liable for security incidents caused by circumstances beyond its reasonable control, including attacks, vulnerabilities, compromised user credentials, third-party security failures, or unauthorized actions of third parties. Nothing in this section excludes liability that cannot legally be excluded. 22. User and Organization Security Responsibilities Users and organizations are responsible for taking reasonable measures to protect their own accounts and credentials. This includes: • Using strong and unique passwords; • Keeping login credentials confidential; • Restricting access to authorized personnel; • Protecting participant links; • Maintaining appropriate security on devices used to access the Service; • Promptly notifying Engage of suspected unauthorized access. Engage is not responsible for unauthorized access resulting from compromised credentials, negligent sharing of account information, insecure devices, publicly disclosed participant links, or other actions or omissions of the user or organization, except to the extent caused by Engage's own legally actionable failure. 23. Application Results, Randomization, and Technical Accuracy Certain applications may automatically generate assignments, selections, rankings, results, or other outputs. Although Engage designs its applications to operate according to their intended logic, technical errors, unexpected behavior, configuration errors, or other circumstances may occasionally affect an application's operation or output. Where a potential error is reported, Engage may investigate the relevant event, application configuration, logs, and available technical information to determine whether an error occurred. Engage does not guarantee that every application will operate without technical errors or that every result will be generated without interruption. Where an organization configures the rules or parameters of an application, the organization remains responsible for reviewing those configurations before an event begins. Engage is not responsible for losses or disputes arising from an organization's incorrect configuration, incorrect participant information, incorrectly communicated rules, or decisions regarding rewards or winners, except to the extent required by applicable law. 24. Limitation of Liability To the maximum extent permitted by applicable law, Engage and its affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the Service. This includes, without limitation: • Loss of profits or revenue; • Loss of business opportunities; • Business interruption; • Loss of anticipated savings; • Loss of data; • Loss or failure to receive a reward or prize; • Disputes between an organization and its participants; • Consequences arising from an application's result; • Temporary or permanent Service interruption; • Technical errors or software bugs; • Third-party service failures; • Payment provider failures; • Cybersecurity incidents; • Unauthorized transactions; • Unauthorized access; • Loss resulting from compromised user credentials; • Reliance on information or results generated by the Service. To the maximum extent permitted by applicable law, the total aggregate liability of Engage arising out of or relating to the Service will be limited to the amount paid by the affected user or organization to Engage for the Service during the twelve (12) months immediately preceding the event giving rise to the claim. This limitation does not apply to liability that cannot legally be limited or excluded under applicable law, including where applicable law prohibits limitation of liability for fraud, willful misconduct, or other specified conduct. 25. Support and Error Investigation Engage provides reasonable technical support for users and organizations using the Service. If you experience an apparent error, malfunction, incorrect result, or other technical issue, you may contact us at: info@engageforteams.com When investigating an issue, Engage may request information reasonably necessary to identify the cause, including: • Account information; • Event ID; • Application information; • Approximate date and time of the incident; • Screenshots; • Browser or device information; • Error messages; • Other relevant technical information. We may review available system records, logs, application configurations, and other technical information to investigate reported problems. We will use commercially reasonable efforts to investigate reported technical problems, but we do not guarantee a specific resolution time or that every issue can be resolved. Providing support or investigating an issue does not create an obligation to provide compensation, refunds, credits, or other remedies unless expressly required by applicable law or agreed by Engage. 26. Force Majeure Engage will not be responsible for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control. Such circumstances may include, without limitation: • Natural disasters; • War; • Terrorism; • Government actions; • Internet-wide outages; • Major infrastructure failures; • Telecommunications failures; • Cyberattacks; • Widespread malware or security incidents; • Third-party infrastructure failures; • Cloud provider outages; • Payment provider outages; • Other events beyond Engage's reasonable control. 27. No Guarantee of Business Outcomes Engage provides software tools for organizing events, applications, assignments, and participant activities. Engage does not guarantee any particular business, financial, organizational, engagement, participation, competition, reward, or other outcome resulting from use of the Service. Organizations are responsible for determining whether the Service is suitable for their particular activities and use cases. 28. Survival Sections concerning intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, dispute-related obligations, and any other provisions that by their nature should survive termination will remain effective after termination of an account or these Terms.
29. Changes to the Service or Terms We may modify, add, or remove features of the Service from time to time. We may also update these Terms when reasonably necessary. Updated Terms will be published on the website with a revised "Last Updated" date. Your continued use of the Service after an update becomes effective constitutes acceptance of the updated Terms, to the extent permitted by applicable law. 30. Governing Law These Terms will be governed by the applicable laws specified by Engage in its applicable legal and business structure, without regard to conflict-of-law principles. Nothing in these Terms is intended to remove or restrict mandatory consumer rights that apply to you under the laws of your jurisdiction. 31.
